Terms of Service for Roger and Cynthia Properties, LLC

Welcome to Roger and Cynthia Properties, LLC. These terms and conditions outline the rules and regulations for the use of our digital marketing services. By engaging our services, you accept these terms and conditions in full.

1. Services

Roger and Cynthia Properties, LLC agrees to provide the digital marketing services as described in the mutually agreed-upon Statement of Work (SOW) or service agreement. This may include, but is not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing.

2. Client Obligations

The client agrees to provide all necessary access to information, digital assets, and accounts (e.g., website backend, Google Analytics, ad accounts) required for Roger and Cynthia Properties, LLC to perform its services. The client is responsible for the accuracy and legality of all materials provided.

3. Payment Terms

Payment for services will be detailed in the SOW. Typically, services are billed on a recurring monthly basis in advance. Invoices are due upon receipt. Failure to make timely payments may result in a suspension of services.

4. Timelines and Deliverables

Roger and Cynthia Properties, LLC will make every effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and may be affected by factors beyond our control, including delays in client feedback or approvals, and changes in search engine algorithms. We are not liable for any delays caused by such external factors.

5. Confidentiality

Both parties agree to keep all confidential information, including business strategies, client data, and campaign performance metrics, private and not to disclose it to any third party without prior written consent, except as required by law.

6. Intellectual Property

Any pre-existing intellectual property shall remain the property of its respective owner. All content, strategies, and deliverables created by Roger and Cynthia Properties, LLC specifically for the client as part of the paid services shall become the property of the client upon full and final payment.

7. Limitation of Liability

Roger and Cynthia Properties, LLC will not be liable for any indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this agreement or the services provided. Our total liability shall not exceed the total amount paid by the client to Roger and Cynthia Properties, LLC for the services in question.

8. Termination

Either party may terminate the service agreement with a 30-day written notice. Upon termination, the client is responsible for paying for all services rendered up to the effective date of termination. Roger and Cynthia Properties, LLC will assist in the orderly transition of all campaign assets and data back to the client.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Roger and Cynthia Properties, LLC is registered, without regard to its conflict of law provisions.
